GENERAL TERMS AND CONDITION FOR WORKNASI AND IT’S USERS

Key terms

Worknasi provides an online platform that connects individuals, companies, organizations (called Workspace owners) who have work spaces with other individuals (called Office seekers) seeking to rent such work spaces either on hourly, daily, weekly or monthly basis as well as a marketplace for freelancing services and gigs, where customers find and connect with diverse qualified freelance experts in Africa in the most affordable, timely and secured manner. This interaction (collectively called Services) are accessible at www.Worknasi.com (called the Site), any other online platforms through which Worknasi makes the Services available, such as mobile applications for mobile, tablet and other smart devices and application program interfaces (collectively, the "Application").

Worknasi.com (hereinafter referred to as “we” or “us”, or "our" provides this website (the "Site"), application or services to you subject to these terms and conditions of use (“Terms” or “Agreement”). The Site is comprised of various web pages operated by Worknasi Com. By accessing, using, or by merely browsing the Site you agree to be legally bound by these Terms and all terms, policies and guidelines incorporated by reference in these Terms.

Member: a registered user of this site.

Visitor: unregistered user

User (you): both member and visitor making use of the Worknasi Services on the site.

"Workspace" means any space that can aid productive work.

"Worknasi Content" means all Content that Worknasi makes available through the Site, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party, but excluding Member Content.

"Collective Content" means Member Content and Worknasi Content. "Content" means text, graphics, images, music, software (excluding the Application), audio, video, information or other materials.

"Office seeker" means a Member who requests from a Workspace owner a booking of a Listing via the Site, Application or Services, or a Member who stays at a workplace and is not the Workspace owner for the associated Listing.

"Workspace owner" means a Member who creates a Space Listing via the Site, Application and Services (Also known by us as Workspace owner”.

"Listing" means an Accommodation that is listed as an office space by a Workspace owner as available for rental/booking via the Site, Application, and Services.

"Member" means a person who completes Worknasi's account registration process, including but not limited to Workspace owners and Office seekers, as described under "Account Registration" below.

"Member Content" means all Content that a Member posts, uploads, publishes, submits, transmits, or includes in their Listing, Member profile or Worknasi promotional campaign to be made available through the Site, Application or Services. If you do not agree to these terms and conditions, you have no right to obtain information from or otherwise continue using the Site, Application or Services. Failure to use the Site, Application or Services in accordance with these terms and conditions may subject you to civil and criminal penalties.

Client: User in need of a service of a freelancer and who hires them, which could be an individual or organization.

Clients: are users who purchase services of freelancers on Worknasi platforms.

Freelancer: means any individual or business who registers on the Website who has the skills and capacity to perform at least one of the service categories available on Worknasi platforms.

Job/Project: means task/job/work or any activities that need to be done by a freelancer(s).

Job Page: is where the Service provider can describe their project/job and the project’s terms, and the Client can purchase the service and or create an order.

Bids: are exclusive proposals that a freelancer can create in response to specific requirements of a Client.

Job/project listed: are requests made by Client to receive a Custom Offer from a freelancer.

Conversation Page/message/Inbox: is where Clients and Service providers communicate with each other about the service.

Disputes are disagreements experienced during the Client and freelancer engagement or Workspace owner and office seeker

Escrow Account: is the money which the Client pay to freelancer before the start of the work and it is held by Worknasi until the completion of the job/project and the approval of the final work done by the freelancer from a Client. And the money paid to the Workspace owner by office seeker and held by Worknasi until the office seeker start using the office.

Site: means the website of Worknasi.com, Worknasi IOS App, Worknasi Android App and all the pages, content and sub-domains contained therein.


Terms & Conditions

How the Site, Application and Services Work

The Site, Application and Services can be used to facilitate the listing and booking of workspaces and workplaces including meeting rooms. Such Workplaces are included in Listings on the Site, Application and Services by Workspace owners. You may view Listings as an unregistered visitor to the Site, Application and Services; however, if you wish to book a workspace or create a Listing, you must first register to create a Worknasi Account (defined below). As stated above, Worknasi makes available an online platform or marketplace with related technology for Office seekers and Workspace owners to meet online and arrange for bookings of Workspaces directly with each other. Worknasi is not an owner or operator of properties, including office buildings, studios, working spaces, meeting rooms nor is it a provider of properties, including, but not limited to, Office buildings, studios, working spaces and meeting rooms and Worknasi does not own, sell, resell, furnish, provide, rent, re-rent, manage and/or control properties, including, but not limited to, Office buildings, studios, working spaces or meeting rooms. Unless explicitly specified otherwise in the Worknasi platform, Worknasi's responsibilities are limited to facilitating the availability of the Site, Application and Services which includes booking and renting.

PLEASE NOTE THAT, AS STATED ABOVE, THE SITE, APPLICATION AND SERVICES ARE INTENDED TO BE USED TO FACILITATE WORKSPACE OWNERS AND OFFICE SEEKERS CONNECTING AND BOOKING WORKSPACES DIRECTLY WITH EACH OTHER. WORKNASI CANNOT AND DOES NOT CONTROL THE CONTENT CONTAINED IN ANY LISTINGS AND THE CONDITION, LEGALITY OR SUITABILITY OF ANY WORKPLACES. WORKNASI IS NOT RESPONSIBLE FOR AND DISCLAIMS ANY AND ALL LIABILITY RELATED TO ANY AND ALL LISTINGS AND ACCOMMODATIONS. ACCORDINGLY, ANY BOOKINGS WILL BE MADE OR ACCEPTED AT THE MEMBER'S OWN RISK.

Account Registration

In order to access certain features of the Site and Application, and to rent/book a workspace or create a Listing, you must register to create an account ("Worknasi Account") and become a Member (hereinafter referred to also as "Worknasi"). You may register to join the Services directly via the Site or Application or as described in this section. You can also register to join by logging into your account with certain third-party social networking sites ("SNS"). As part of the functionality of the Site, Application and Services, you may link your Worknasi Account with Third-Party Accounts, by either: (i) providing your Third-Party Account login information to Worknasi through the Site, Services or Application; or (ii) allowing Worknasi to access your Third-Party Account, as permitted under the applicable terms and conditions that govern your use of each Third-Party Account. You represent that you are entitled to disclose your Third-Party Account login information to Worknasi and/or grant Worknasi access to your Third-Party Account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account and without obligating Worknasi to pay any fees or making Worknasi subject to any usage limitations imposed by such third-party service providers. By granting Worknasi access to any Third-Party Accounts, you understand that Worknasi will access, make available and store (if applicable) any Content that you have provided to and stored in your Third-Party Account ("SNS Content") so that it is available on and through the Site, Services and Application via your Worknasi Account and Worknasi Account profile page. Unless otherwise specified in these Terms, all SNS Content, if any, will be considered to be Member Content for all purposes of these Terms. Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts will be available on and through your Worknasi Account on the Site, Services and Application. Please note that if a Third-Party Account or associated service becomes unavailable or Worknasi's access to such Third-Party Account is terminated by the third-party service provider, then SNS Content will no longer be available on and through the Site, Services and Application. You have the ability to disable the connection between your Worknasi Account and your Third-Party Accounts, at any time, by accessing the "Settings" section of the Site and Application.

PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS.

Worknasi makes no effort to review any SNS Content for any purpose, including but not limited to for accuracy, legality or non-infringement and Worknasi is not responsible for any SNS Content.

Your Worknasi Account and your Worknasi Account profile page will be created for your use of the Site and Application based upon the personal information you provide to us or that we obtain via an SNS as described above. You may not have more than one (1) active Worknasi Account. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. Worknasi reserves the right to suspend or terminate your Worknasi Account and your access to the Site, Application and Services if you create more than one (1) Worknasi Account, or if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current, incomplete, or otherwise in violation of these Terms of Service.

You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your Worknasi Account, whether or not you have authorized such activities or actions. You will immediately notify Worknasi of any unauthorized use of your Worknasi Account.

Workspace Listings

As a Member, you may create Listings. To create a Listing, you will be asked a variety of questions about the workspace to be listed, including, but not limited to, the location, capacity, size, features, and availability of the workspace and pricing and related rules and financial terms. In order to be featured in Listings via the Site, Application and Services, all workspaces must have valid physical addresses. Listings will be made publicly available via the Site, Application and Services. You understand and agree that the placement or ranking of Listings in search results may depend on a variety of factors, including, but not limited to, Office seeker and Workspace owner preferences, ratings and/or ease of booking.

Other Members will be able to book your space via the Site, Application and Services based upon the information provided in your Listing, your Office seeker requirements, and Office seekers' search parameters and preferences. You understand and agree that once Office seeker book/rent your workspace through worknasi, you may not request the Office seeker to pay a higher price than in the booking request.

If you are a Workspace owner, you understand and agree that Worknasi does not act as an insurer or as your contracting agent. If Office seeker requests a booking of your space and stays at your workspace, any agreement you enter into with such Office seeker is between you and the Office seeker and Worknasi is not a party to it. When you create a Listing, you may also choose to include certain requirements which must be met by the Members who are eligible to request a booking of your office, such as requiring Members should not be in certain businesses, in order to book your workspace. Any Member wishing to book workspaces included in Listings with such requirements must meet these requirements. More information on how to set such requirements is available via the "Workspace ownering" section of the Site, Application and Services. If you are a Workspace owner, Worknasi makes certain tools available to you to help you to make informed decisions about which Members you choose to confirm or pre-approve for booking for your listed workspace. You acknowledge and agree that, as a Workspace owner, you are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals who reside at or are otherwise present at the workspace at your request or invitation, excluding the Office seeker (and the individuals the Office seeker invites to the workspace, if applicable.)

No Endorsement

Worknasi does not endorse any Member, Listing or Accommodation. You understand that Verified Images are intended only to indicate a photographic representation of the Workspace at the time the photograph was taken. Verified Images are therefore not an endorsement by Worknasi of any Member or Space Listing.

Members are required by these Terms to provide accurate information. Although Worknasi may, for transparency, fraud prevention or detection purposes, directly or through third parties, ask you to provide a form of government identification, your date of birth, and other information, or undertake additional checks and processes designed to help verify or check the identities or backgrounds of Members and/or screen Member information against third party databases or other sources, we do not make any representations about, confirm, or endorse any Member or the Member's purported identity or background.

Any references in the Site, Application or Services to a Member being "verified" or "connected" (or similar language) only indicate that the Member has completed a relevant verification or identification process, and does not represent anything else. Any such description is not an endorsement, certification or guarantee by Worknasi about any Member, including of the Member's identity and whether the Member is trustworthy, safe or suitable. Instead, any such description is intended to be useful information for you to evaluate when you make your own decisions about the identity and suitability of others whom you contact or interact with via the Site, Application and Services. We therefore recommend that you always exercise due diligence and care when deciding whether to stay at a desired workspace or to accept or preapprove a booking request from a Office seeker, or to have any other interaction with any other Member. Except as provided in the Worknasi Workspace owner Guarantee Terms and Conditions ("Worknasi Workspace owner Guarantee"), which is an agreement between Worknasi and Workspace owners, we are not responsible for any damage or harm resulting from your interactions with other Members.

Terms Modification

We may make modifications, deletions or additions to these terms from time to time. Such changes will be effective: (i) thirty (30) days after we provide notice of the changes, whether such notice is provided through the user interface of our online services, is sent to the e-mail address associated with your account or otherwise; or (ii) when you opt-in or otherwise expressly agree to the changes or a version of these terms incorporating the changes, whichever comes first.

Eligibility

The Site, Application and Services are intended solely for persons who are 16 or older. Any access to or use of the Site, Application or Services by anyone under 16 is expressly prohibited. By accessing or using the Site, Application or Services you represent and warrant that you are 16 or older. If, however anyone below 16 requires a workspace, you will have to co-sign up in company of a parent or guardian that meets the initial conditions.

Kindly be certain you qualify. You agree to provide us with accurate and complete information about yourself when you register with us and as you use our services. You also agree to keep your information up-to-date. Don’t reveal your account password or transfer your key card or other location access device to anyone else (or let them use your account). You are responsible for maintaining the confidentiality of your password and security of your location access device. You should promptly notify us if you suspect your password or location access device has been compromised.

Linking to a company.

During the online registration process, you are asked to identify a company with whom your profile is associated. You agree that you will not falsely represent your association with any company, impersonate any third party or otherwise submit any false or misleading information to us. In the event your relationship with the company changes or is terminated, you agree to promptly update your profile to reflect this. Alternately, your individual account may have been created by an authorized representative of your Client. If you are an authorized representative, you hereby warrant and represent to us that you have the proper authority to create and terminate the company account and add and remove individual members to and from the account and agree to indemnify us for any loss we may suffer as a result of any breach of this warranty and representation.

Payment terms

By signing up for an account and providing your payment information, you agree to pay us the recurring or nonrecurring fees as displayed to you at the time of transaction. You acknowledge and agree that the payment instrument provided by you will be automatically charged the fees and any other amounts you may incur or be liable for (including for damages caused by you to any of your Workspace owner locations or property) in connection with your Worknasi membership. Your use of the services may be immediately suspended if we are unable to charge such payment instrument for any reason. Your continued use of the services following such notice and through the payment date constitutes your agreement to such modified fees. You may at any time cancel your account as set forth below if you do not agree to any modified fees.

1. Foreign Currency

Worknasi's online platform facilitates bookings between Office seekers and Workspace owners who may prefer to pay in a currency different from their destination currency, which may require foreign currency conversions to accommodate these differing currency preferences. Although the Worknasi platform allows users to view the price of Listings in various local currencies, the currencies available for users to make and receive payments may be limited, and may not include the default currency in any given geographic location.

2. Definitions

2.1 In these terms and conditions the following words and phrases shall have the following meanings: "Coupons" are discounts off rental fees that are applied at the time an Office seeker makes a reservation under the Worknasi Service and include both Worknasi referral points and Coupons: a Coupon reduces the amount of the rental fee collected from the Office seeker by Worknasi by the value of the discount; "Fees Collected" are the rental fees collected by Worknasi on behalf of the Workspace Owner's (also known as "Workspace owners") behalf for reservations that were completed or considered completed under the Cancellation Policy during the calendar month in question. "Payment Period" means a calendar month;

"Private Offices" are Workspaces that have been designated by their Workspace Owner as private and closed to the general public other than the current Office seeker(s); "Flexible desks" are desks that can cater to both collaborative and solo work environments and do not require that the Office seeker uses the same desk every time he requests for a space. "Dedicated desks" are desks that are allocated to any Office seeker that requested for and are used solely by the Office seeker for that allotted time period. "Communal desks" are desks that accommodates many workers to work collectively or on the same desk. "Meeting / Conference rooms" are spaces that are suitably equipped and designed to hold meetings or singular events such as business conferences "Training rooms" are spaces that are fully equipped to hold the types of training for which they are listed "Total Fees" means the listed rental fee for a Workspace listed on the Worknasi Service;

3. Rentals between office seekers and Workspace Owners (also known as "Workspace owners")

3.1 As a Workspace owner, you agree to abide by the following policies: (a) you are solely responsible for maintaining the Workspace in a safe condition and in compliance with all applicable laws and building requirements; (b) you are solely responsible for ensuring that the Workspace is clean, tidy and ready to use at the start of each agreed rental period; (c) you are solely responsible for ensuring that the rental of the Workspace through the Service does not violate any lease or other agreements relating to the Workspace or any policies of the building in which the Workspace is located, and you are solely responsible for and shall fully indemnify Worknasi against any fines, losses or other liabilities arising from such violations; and (d) if you approve a rental of your Workspace to begin at a specified time, you are solely responsible for ensuring that the Workspace is available to the office seeker at that time. 3.2 Office seekers and Workspace owners may both submit feedback to the Service following the completion of a Workspace rental transaction. You acknowledge and agree that other members may publicly post ratings and reviews of you and/or your Workspace. You acknowledge and agree that Worknasi may, but is not obliged to, monitor such postings and that Worknasi is not responsible for any ratings and/or reviews given by Office seekers. You expressly release Worknasi from any and all claims, causes of actions, obligations or liabilities arising from or relating to ratings and/or reviews given by Office seekers.

4. Payments

4.1 As a Workspace Owner, you may establish the rental fee for your Workspace and this fee must be tax-inclusive.

4.2 Bimonthly, Worknasi shall, subject to the other provisions of this clause, pay to the Workspace Owner the difference between the Fees Collected and the Service Charges due for that month (the "Amount Due").

4.3 The service charge deducted by Worknasi shall not exceed 10% of the amount of total rent charged by Workspace owners. However other established agreement on the service fee maybe negotiated and agreed by written document between Workspace owner and Worknasi.

4.4 The Workspace owner can decide to be paid at any time above bi-monthly but not less than bi-monthly.

4.5 Worknasi reserves the right to withhold payment to you in respect of any amounts otherwise due to Worknasi under the Terms of Use, or any amounts due to Worknasi as a result of your breach of the Terms of Use, pending Worknasi's reasonable investigation of such alleged breach(es).

4.6 You agree to pay all applicable taxes or charges imposed by any competent government entity in connection with your use, or Worknasi's supply, of the Service, including without limitation any sales or value-added taxes or charges imposed by any competent government entity in connection with your use, or Worknasi's supply, of the Service.

4.7 You are solely responsible for providing and maintaining accurate contact and payment information associated with your account, which includes without limitation applicable tax information, and you shall keep complete and accurate records regarding Workspace usage and payments by Office seeker. Upon giving reasonable prior written notice Worknasi may audit such records to confirm proper payment and to otherwise confirm compliance with these Terms of Use.

4.8 Any bank fees incurred by Worknasi that arise from any error or omission in your payment or contact information may be deducted from your payments.

4.9 If you dispute any payment made to you by Worknasi in accordance with the Terms of Use, you must notify Worknasi in writing within thirty (30) days of your receipt of such payment. If you fail to do so, you will not be able to make any claim relating to such disputed payment.

5. Representations and Warranties

5.1 You represent and warrant that:

(a) any Workspace you offer for rental hereunder is free of any known conditions or defects that would pose a hazard to, or risk the safety of, any Hirer or any third party; and (b) you have sufficient rights in and to the Workspace to participate in the Service as a Workspace Owner, and your participation in the Service as a Workspace Owner does not violate or result in the breach of any agreement between you and any third party, including any lease agreement or other agreement relating to the Workspace or the building in which the Workspace is located.

Additional terms to workspace owners

1. These terms and conditions form part of the Terms of Use and govern the use of the Worknasi Services by Workspace Owners.

2. If you use the Service on behalf of a company, business or other organisation, you represent and warrant that you are authorised to bind such company, business or organisation to the Terms of Use and these terms and conditions, and that you are duly authorised to act on behalf of such company, business or organisation with respect to any actions you take in connection with the Worknasi Services. You agree to respond promptly, truthfully, accurately and completely to any requests from Worknasi or terminate your access to the Services and your account if Worknasi has reason to believe that you are not duly authorised to act on behalf of any company, business or organisation on whose behalf you claim to be acting.
